Dear Member of the BWI Community:
As many of you are aware, the U.S. Securities and Exchange Commission on June 12, 2020 Qualified our Initial Public Offering (IPO) and our sale of up to $6,000,000 in Common Stock and Common Stock Purchase Warrants at a price of $3.00 per Share. The minimum purchase is one Unit ($300.00) which consists of 100 Class B Common Stock Purchase Warrants. I have attached a copy of our Offering Circular which contains the complete information about our IPO.
As outlined in the Offering Circular, we will be utilizing the proceeds of this IPO principally for the following purposes:
(i). A national roll-out of our flagship brand "Dr.Tom's" ® CBD products through increased
marketing and distribution channels, including through our new diect-to-consumer Internet
website Dr. Tom's CBD;
(ii). Expansion of our manufacturing capacity and inventory for our "Dr.Tom's" ® CBD products as
well as white-label manufacturing and packaging for other distributors; and
(iii). Acquisition of a 40% equity interest in PrimaPharma, Inc. (PPI), and FDA-certified laboratory
and production facility in San Diego, CA, which will test and certify that all of our CBD
products are compliant with ISO Standards and Good Manufacturing Practices (GMP). View
As part of our PPI acquisition, we are planning to construct an additional production facility which will be part of PPI's FDA-certified campus. This new facility will be designed specifically for processing our cannabidiol (CBD) products, including our ingestible "Dr.Tom's" ® CBD products, in a regulated environment. This new automated facility is being designed to process up to 90,000 liters of raw CBD product per year, and to process and test all of BWI's ingestible CBD products in conformance with current and future FDA Regulations.
